This agreement ("Agreement") is entered into by and between microWED collective, LLC, ("Company"), and the subscriber ("Subscriber"). By accessing or using the online directory subscription service ("Service"), Subscriber agrees to be bound by the terms and conditions of this Agreement.

1. Subscription Service

1.1. Description of Services

microWED collective, LLC provides a platform for wedding vendors to list their services and for users to find wedding-related services. Our directory aims to connect users with wedding vendors, but we do not guarantee the volume of leads or inquiries that vendors may receive.

1.2. No Guarantee of Leads or Inquiries

microWED collective, LLC does not guarantee that listing your business in our directory will result in leads or inquiries. While we strive to provide visibility for all listings, the number of leads and inquiries can vary based on numerous factors including market demand, the completeness and attractiveness of your listing, and user behavior.

1.2. Subscription Term: The subscription term shall commence upon payment and continue for the duration specified in the subscription plan chosen by the Subscriber.

2. Subscriber Obligations

2.1. Account Information: Subscriber agrees to provide accurate and complete information when registering for the Service and to keep such information updated.

2.2. Use of Service: Subscriber shall use the Service solely for its intended purposes and shall not engage in any activity that may disrupt or interfere with the functioning of the Service or infringe upon the rights of others.

2.3. Confidentiality: Subscriber shall keep login credentials and other access information confidential and shall not share such information with any third parties.

3. Payment and Fees

3.1. Subscription Fees: Subscriber agrees to pay the subscription fees as specified in the chosen subscription plan.

3.2. Billing: Subscription fees shall be billed in advance on a recurring basis unless otherwise agreed upon.

3.3. Payment Method: Subscriber shall provide a valid payment method for the payment of subscription fees.

4. Intellectual Property

4.1. Ownership: The Company retains all rights, title, and interest in and to the Service, including all intellectual property rights.

4.2. Use of Content: Subscriber may access and use the content provided through the Service solely for its internal business purposes.

5. Termination

5.1. Termination by Subscriber:

5.1.a For yearly subscriptions that commenced before July 10, 2024: Subscriber may cancel the subscription at any time. No refunds shall be provided for the unused portion of the subscription term unless cancellation fits the criteria outlined according to the Guarantee Terms & Conditions.

5.1.b For yearly subscriptions that commenced on or after July 10, 2024: Subscriber may cancel the subscription at any time. No refunds shall be provided for the unused portion of the subscription term.

5.1.b For monthly subscriptions that commenced on or after July 10, 2024: Subscriber may cancel the subscription at any time by emailing hello@microwedcollective or visiting the Stripe Customer Portal. Service will continue through the end of the billing period.

5.2. Termination by Company: The Company reserves the right to suspend or terminate the Service or Subscriber's access to the Service at any time for any reason, with or without notice.

6. Limitation of Liability

6.1. Disclaimer: The Service is provided on an "as-is" and "as available" basis without any warranties, express or implied.

6.2. Limitation of Liability: In no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the use of or inability to use the Service.

7. Governing Law

7.1. Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the United States of America.

8. Miscellaneous

8.1. Entire Agreement: This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, and communications, whether written or oral.

8.2. Amendment: The Company reserves the right to amend or modify this Agreement at any time, and such amendments or modifications shall be effective upon posting on the Company's website.

By accessing or using the Service, Subscriber acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.
